Fee calculations use the maximum aggregate offering price or transaction value, not the actual amount raised or transacted. Companies should always verify current rates before calculating fees since the SEC adjusts rates annually based on congressional targets and collection performance.
Registration Fee Calculation Methodology
Fee Calculation Formula:
Registration Fee = (Maximum Aggregate Offering Price ÷ $1,000,000) × Current Fee Rate
Current Rate: $153.10 per million dollars
Example Calculations:
- $10 million offering: ($10M ÷ $1M) × $153.10 = $1,531.00
- $100 million offering: ($100M ÷ $1M) × $153.10 = $15,310.00
The maximum aggregate offering price includes all securities registered, even if the company doesn’t sell the entire amount. Companies cannot reduce fees by selling fewer securities than registered. This calculation method ensures predictable fee collection regardless of market conditions or offering success.
Common Filing Types and Associated Fees
Form S-1 registration statements for initial public offerings represent the most significant fee category for many companies. These comprehensive registration statements require fees based on the total dollar amount of securities registered for sale. Secondary offerings under Form S-3 or other registration forms use the same fee calculation methodology but may qualify for reduced preparation time and costs.
Annual reports on Form 10-K, quarterly reports on Form 10-Q, and current reports on Form 8-K do not require additional fees beyond the initial registration fee. These ongoing reporting obligations are funded through the original registration fee payment. Proxy statements filed on Schedule DEF 14A also carry no additional fees for most routine shareholder meetings and corporate governance matters.
Fee Payment Methods and Timing
The SEC mandates that all filing fees must be paid electronically through the EDGAR system using wire transfers, ACH debits, credit cards, or debit cards. To facilitate this, filers need to create payment accounts within EDGAR prior to submitting documents that incur fees. Payments must accompany the filing submission, as the SEC will not accept filings without proper fee payment or valid fee offset claims.
For wire transfers, any bank or wire service can initiate payments through the Fedwire system to US Bank, the designated financial agent for SEC fee payments. Wire transfers process immediately within operational hours (8:30 am to 6:30 pm EST), enabling same-day filing for registration statements and other urgent documents. It is crucial to include the payor’s SEC-assigned CIK and the US Treasury account number for SEC filers to ensure proper credit and prompt acceptance of filings.
ACH, credit card, and debit card payments require filers to log in to the EDGAR Filing Website, accessible here, to access Pay.gov. ACH payments may take 1-3 business days to process, while credit and debit card payments typically appear within 15 minutes to 24 hours in EDGAR. Filers should initiate these transactions early to avoid delays. Payments are accepted during EDGAR operating hours (6 am – 10 pm ET, Monday–Friday, except federal holidays).
To initiate an ACH, credit card, or debit card payment, filers must:
- Access the EDGAR Filing Website and log in OR we can submit a Form ID filing for you to create your SEC account.
- Click the “Submit Filing Fee Payment” link in the left navigation menu.
- Enter the required information, including the payor’s SEC-assigned CIK, Payor CCC, payment amount, name, email, and phone.
- Complete the payment on Pay.gov. Filers will return to EDGAR after submitting payment.
Companies should maintain sufficient account balances to cover fees, as insufficient funds will result in filing rejections. Late payment penalties generally do not apply since fees must be paid before acceptance, but non-payment can lead to enforcement actions and potential violations of securities laws. Maintaining accurate fee calculations and prompt payment procedures safeguards companies from compliance issues and filing delays.
Please note that, effective May 31, 2022, checks or money orders are not accepted and will be returned without processing. Filers must use alternate payment methods for fee submissions.
